The scope of services for each client is defined in a separate service agreement, proposal, or invoice. These Terms apply to all clients and website visitors regardless of whether a separate service agreement is in place.

## 3. Client Responsibilities

To deliver our services effectively, we may require access to your business accounts, including but not limited to your Google Business Profile, website backend, advertising accounts, and analytics platforms. By engaging our services, you agree to:

– Provide accurate, current, and complete information about your business
– Grant necessary access to your accounts and assets as required to perform services
– Respond to reasonable requests for information, approvals, and feedback in a timely manner
– Maintain ownership and rights to all content, images, and materials you provide to us
– Cooperate with us in good faith throughout the engagement

You retain ownership of your business accounts, website, brand, and content. We do not claim ownership of any materials you provide.

## 4. Payment Terms

Unless otherwise agreed in writing, our services are billed on a monthly basis. Specific payment terms, including amounts, billing dates, and accepted payment methods, are outlined in your service agreement or invoice.

– Payments are due upon receipt unless otherwise specified
– Late payments may result in service suspension
– All fees are non-refundable except as expressly stated in our written guarantees or service agreements
– We reserve the right to modify pricing with advance notice for ongoing services

Our 30-day money-back guarantee and 6-month results guarantee, where applicable, are defined separately and apply only as stated in the relevant service agreement or on our website.

## 5. Consent to Receive SMS Communications

By providing your contact information and agreeing to these Terms, you consent to receive SMS messages from RedShark Local SEO (DBA of Infosystrade Inc.). These messages may include, but are not limited to:

– Payment reminders

– Service-related communications and requests for feedback

Message and data rates may apply, depending on your mobile carrier and plan.

You may opt out of receiving SMS communications at any time by replying **STOP** to any SMS message. For help, reply **HELP**. Upon opting out, you will no longer receive SMS messages from us unless you opt in again. Opting out of SMS does not affect other forms of communication, such as email or phone, which you may opt out of separately.

Message frequency varies based on your account activity, the services you have subscribed to, and the stage of your campaign. You may receive periodic messages related to your account and active projects.

Any original work we create for you as part of our services (including websites, content, designs, and strategies) becomes your property upon full payment, unless otherwise specified in your service agreement.

We retain ownership of:

– Our proprietary methodologies, processes, and frameworks
– Pre-existing templates, tools, and intellectual property
– Anonymized data, insights, and case studies derived from our work (used for our own marketing purposes without identifying you)

Our website content, branding, and materials are protected by copyright and other intellectual property laws. You may not reproduce, copy, or use them without our written permission.

## 9. Service Guarantees

Specific guarantees, such as our 30-day money-back guarantee and 6-month results guarantee, apply only as expressly stated on our website or in your service agreement. Results from SEO and marketing services depend on factors outside our direct control, including but not limited to search engine algorithm changes, competitor activity, and market conditions.

While we work diligently to deliver the results promised, we cannot guarantee specific rankings, traffic levels, or business outcomes unless explicitly stated in writing.

To the fullest extent permitted by applicable law, RedShark SEO (and its parent company Infosystrade Inc.) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or loss of goodwill, arising from your use or inability to use our services, even if we have been advised of the possibility of such damages.

Our total liability for any direct damages shall not exceed the amount you paid us for services during the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless RedShark SEO, Infosystrade Inc., and our employees, contractors, and affiliates from any claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising from:

– Your use of our services

– Your violation of any law or third-party rights
– Content, materials, or information you provide to us

Either party may terminate the service relationship at any time, with or without cause, in accordance with the terms of the applicable service agreement. Our standard service agreements are month-to-month with no long-term contracts unless otherwise specified.

Upon termination:

– We will deliver any work completed and paid for as of the termination date
– You retain access to your own accounts and assets
– Any outstanding balances become due immediately
– Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will remain in effect
